The Co-Applicaat and fhe County of Kauai eatered into a Memorandum of
Understanding (KUauea Plateau Subdivision)("MOU")(undated)with regard to the subdivision
of land in Kflauea foi the creation and fature dedication of the New Town Kilauea Road and
Bike Path.("See,Exhibtt "A "for a copy oftfae MOU).Tfae design offhe subdivisioa was a sfaared
effort between the Co-Applicant and tbe County of Kauai.The Pianning Commission issued
Tentative Subdivision Approval on September 11,2018,which conditions were memorialized in
a letter by fhe Plamiing Department dated September 20,2018.(See,Exhibit "B").The
Co-Applicant has now completed all conditions required under tbe Tentarive Approval.

As a follow up to our representation to the Planning Commission and meetings with
the County of Kauai's Plamiing Department and Department of Public Works ("DPW"),
Engineering Divisioa,we prepared the First Amendment To Memorandum Of Understanding
(Kilauea Plateau Subdivision)("Fiist Amendment to MOU )between fbe parfies to fhis
Subdivision Action.The Subdivision Lot Index was revised to amend the lot acreage counts
based on revisions requested by DPW Engineering to eertain lots as well as Section 2.9 of fhe
MOU as requiied by DPW Engineermg.The First Ameiidment to MOU has been executed by fhe
Co-Applicant and the County ofKauai as provided in Exhibit "C",attached bereto.Below is a
schedule ofthe lots:

Kilauea Town Road aAd Bike Pafh,Mr.Aveiy Youn presents a challenge to the Project.
Mr.Youa's letter dated September 1,2020,purports to submit an intervention
icquest and an appeal of the decision of the PIarming Director to approve Final Subdivision
Map Approval.Both requests are proceduraUy flawed as it relates to the Chapter 9
("Subdivision Ordinance")of the Kauai County Code,1987 as amended ("KCC"),and to the
Rules ofPractice and Procedure offhe Plamiing Conunission ("RPPPC").

With regard to the request to intervene,Mr.Youn cites Chapter 4 ofthe RPPPC.
However,petitions to intervene are only allowed for Agency Hearings before the
Planmng Commission,as provided for m RPPPC Rule 1-4-3.
A brief overview of fhe County's subdivision process is warraated to imderstand
the history of this Subdivision Acfion.Title FV,Chapter 9 of the KCC contains fhe
Subdivision Ordiiiance.The KCC Chapter 9 is unique in tfae sense the County ofKauai is the only
county witfain the State where subdivision proposals are approved by the County Plarming
Commission,as mandated by Article XTV,Section 14.09 ofthe County Charter.
The subdivision process occurs in twd phases.Once an applicatioa is deemed
complete,the Subdivision Committee of the Plauning Commissiou fiist takes action on the
Tentative Subdivision Map Approvai.It is at this stage where conditions aie imposed to ensuie
compliance wifh the Subdivision Ordinaace.The applicant must fcst fulfiU the conditions
imposed prior to obtaining Final Subdivision Map Approva]by the Subdivision Committee,whicti
must (hen be ratified by the Plamiing Commission.Prior to Final Subdivision Map Approval,
requests for comments are sent to various govermnent agencies for review and approval.Ttie
subdivision process is unlilce the Planmng Commission's pennit process in that the issuance of
Final Subdivision Map Appioval is more ministerial in nature versus discretionary.As such,if
the appKcaat fulfills all the conditions imposed on Tentative Subdivision Map Approval,tben fhe
Final Subdivision Map Approval must be issued.
Wlien a petitioner reqnests interventioa the first question is whether the request is
subject to a Chapter 91 contested ease.HRS §91-1 defines "contested case"as "aproceeding in
wfaich the legal rights,duries,or privileges of specific parties are required by ]aw to be detenmned
after an opportunity for an agen.cy bearing.HRS §91-1 defines "agency hearmg"as referring"only to such heariag held by an agency immediately prior to judicial review ofa contested case
as provided in section 91-14."
In order for a contested case to be applicable there must be a hearing pursuant to
law.The Subdivision Ordinance does not require an agency hearing before action is takea either
at the Tentative Subdivision Map Approval or Fma]Subdivision Map Approval.Therefore,a
reviewing coiirt would not faave jurisdiction over an agency appeal given there is no hearing
pursuant to law.

Pursuant to RPPPC Rule l-l-2(7)(i),"Heaimg"is defined as m "Agency hearing"
or "Public Hearing".An "Agency Hearing""refers only to such hearing held by the Coramissioii
immediately prior to judicial review of a contested case as provided in Section 91-14 HRS,
including but not limited to a Class FV Zoning Permit,a Use Permit,and a Vanance Permit
pursuant to the CZO and other applicable laws."Public hearing means a quasi-legislative hearing
regardmg the adoption,repeal,and amendmeut of rules and ordinances and a means to solicit
general public input on matters before the Commission pursuant to the HRS and Coimty Codes of
Ordmances."
Thus,a request for interveiition regarding a subdivision application is not
procedurally proper given the Subdivision Ordinance does not require an agency hearmg or public
hearing.Chapter 4 ofthe RPPPC states "the petition for intervention wifh certificate of service
shaU be filed with the Commissioa at least seven (7)days prior to the heariag for wfaich notice to
the public bas be published pursuant to law."There is no hearing notice required for any
subdivision action and tfaerefore,no hearing is required,unlike the hearings associated with
Use Pennits and Class IV Zomng Pemrits.Tberefore,Mr.Youn's attempt to inten'ene fails as a
matter oflaw.
Wifh regard to Mr.Youn's referenced appeal ofthe PIamung Director s decision,
he fails to cite the general appUcability of RPPPC Rule 9,which is reserved for appeals by
appUeaiits and not interested persons.Further,RPPPC Rule 1-9-1 expressly foibids intervention
pursuant to Chapter 4 ofthe RPPPC.Mr.Youn is clearly not an applicant.Therefore,his attempt
to appeal a decision to issue Final Subdivision Map Approval also fails as a matter of law
given Chapter 9 of the RPPPC is reserved for applicants who challenge a decision of the
Planning Director affecting fheir property.
^Vith regard to Mr.Youn's substantive issues,it appears he is attempting to
re-Utigate the Plaiming Commission's approval ofthe Gafher Federal Credit Union's Use Permit
U-2020-1 and Class IV Zomng Pemdt Z-W-2020-1 (Gather FCU Permit)issued in 2019,which
he attempted file a motion for re-consideration.but he missed the deadline to intervene in the
Gather FCU Permit.He once again comes in late in the game after the Co-Applican.t completed
all necessary items related to the Tentative Subdivision Map Approval,including costs associated
with designing the roadway and posting a letter ofcredit for the Subdivision Action.

Mr.Youn's primary concem is tfae issue oflhe State Land Use Urban and County-
zoned Residential (R-6)designations.As previously discussed with the PIanning Commission,
fhe portion of fhe lot disputed by Mr.Youn is a small sliver of land on the eastem portion of fhe
Project area.Attached as Exhibit "D"is copy ofthe Kilauea Zoning Map ZM-KI-600,which
clearly shows tbat the pordon offhe property in dispute is located in the SLUC Urban Disfrict and
County-zoned Residential (R-6)District.Further,the State Land Use Commission's website
shows that tfae disputed portiou ofthe property is located in the State Land Use Commission Urban
Disti-ict.(See,Exhtbtt "E"~).Therefore,both tfae State and County agencies charged with
managing the loeation ofthe respective SLUC and Zoning boundaries confirm the locations ofthe
SLUC Urban District and County-zoned Residential (R-6)District based on their mapping tools.
With regard to Mr.Youn's concem with affordable housing,fhe Co-AppIicant has
beeii in discussion with fhe Housing Director who tias an interest m Lot 11 -A-2-B-4 (24.209 acres),
which is currently under appraisal wifh the County of Kauai.Further,Lot 1I-A-2-B-2
(1.804acres)bas been of interesf by affordable housiag non-profit groups.Therefore,the
Co-Applicant is already engaged witli options to evaluate affordable housing opportunities in two
ofthe resulting lots associated wifh.the Subdivision Actioa.
Lastly,this Commissioii heard from Mr.Youn on this very issue during our request
for extension and allowed the application to proceed.Further,it heard from Mr.Youn regarding
fhe Gather FCU Permit and allowed it to proceed.Fonowing the approval of the Gather FCU
Pennit,repiesentatives &om Gather FCU met with concemed citizens to understand fheir issues
and tliey remain willing to address reasonable concems.
As noted by the previous testimony by Mr.Youn and his significaat other,their
primary concem is that fhey live at the end ofthe cul-de-sac timiking no other improvements would
be placed on the westem side offheir property.However,the concera ofone is cleared outweighed
by the community benefits this Project will provide in implementing the 2006 Kilauea Town Plan.
The 2006 Kilauea Town Plan set a loag-range planning goal to create the bypass road aad
additional housing.(See,Exhibit "F").The intent of the Subdivision Action is to fulfill that
vision aad aflow the County ofKauai to complete the road and bike patb improvements.

1.RECITALS.

place,such acttvities wiU be coordinated wifh KOP so as to cause the least mterierence wi(h the
activities ofKOP and its tenaats.
2.5 Dedication.Tbe parties agree fbat until aud unless a mutually agreeable
dedication deed ("Dedication Deed")is executed aad accepted by KOP and tlie CoTmty fhat
conveys to tiie County all ofits interest m and to Roadway Lot A and Malti-Use Pafli Lot,for no
cost,fhe County shaH tiave aa indefimte option ("Option")to reqnire KOP to convey Roadway
Lot A and MuIti-Use Pafh Lot to fhe County.KOP also agrees to grant a liglit-of-entoy
agreement ("Constraction ROE")for an area aot to exceed teu (10)feet from the bouadaries of
Roadway Lot A prior to conslruction of fhe improvecaents.Subject to mutual agreement,KOP
gn.d ttie County may agree to a larger Constmction ROE aiea where additional drainage
iafrastFucture is required.The County raay exercise its Option at any time afier Subdivision
Approval by providmg writtea notice to KOP.Prior to such conveyance,the County shall

County exercises tfae Optioii,fhe Roadway Lot A and fhe Multi-Use Pafh Lot shall be nsed for

tbe Roadway Lot A and the Multi-Use Path Lot KOP reserves the rigbt,and the County agrees
to in advance of the Option,tiiat KOP sliall be entitled to locate reasonable access,utility,and

2-6 Conditions.The County shaU be responsible for any and all conditious of
Subdivision approval imposed by fhe Plamung Commission appHcable to Roadway Lot A and
Lot Multi-Use Pafh Lot ("County Conditions")and KOP shaU be respoiisible for any aad all
conditions of Subdivision approval imposed by the Plamring Cominission applicable to the
remainmg Subdivision Lots ("K.OP Conditions").In the event fiiat the Plamiing Commission
imposes conditions that eifher party,in its sole and absolute discretion,finds unacceptable,tjhen
such party sfaall bave the right,in.its sole and absolute discretion,to terminate the Subdivision
and fhis MOU,wifhout lialiility to &e oflier party,includmg,witiiout Imutatiou,aay liability fcr
any costs incutred by &e other paity in processing fhe Subdivision.Ttie County agrees itiat the
Su'bdivision shall be deemed an exception to a "one time subdivision restriction",pursuaiit to

2.7 ROE.KOP agrees to draft and submit to fhe County a Right of Entry
Agreement to provide the Couaty a right-of-entry ("ROE")for the pmpose of aUowmg the
County,iucludmg its contractors and agents,to enter onto RoadwayLotA and Multi-Use Pafh
Lot to coaduct inspections,peribmi syrveys,prepare studies,aad to complete any ofher
necessary tasks to accomplis]i compliance wifh state,county and federal rules and regulations
prior to obtaning laad use entiflements.The Coraity shaU not conduct any subsmface
mvestigation,or constrnct,modify,or demolish aEy sfaucfure,except as provided m the ROE-
2.8 EAVEIS.The KOP wiil not be responsible for preparing,and paying the
costs and expenses relating to,any Enviromnental Assessment or Environmental Impact
Statement requiied pursuaut to Hawaii Revised Staftites CIiapter 343 arising ont of or coimected

has no dwellmg unit density.The parties agree that,notwifhstanding fhe approval of fhe

CZO Open Disfrict or fbe CZO Agrimltare Disteict;Roadway Lot A,Roadway Lot B,and
Multi-Use Patfa Lot shall Iiave no dwelling unit deasity;and Lot 11-A-2-B-7 wiU bave dwelling
unif decsity as provided by law ('whicli is currenfly five (5)farm dweBiag Tiruts).'Future

2.10'E.ecordable Aereements.KOP sliall draft and submit to the County for its

recorded in the Bureau ofConveyaaces offhe State ofHawaii as a condition offiiial approval for
Phase 2 offhe Subdivision.
2.11 Iniprovemenfs.The County agrees fhat if wfll not require construction
plans for improvem.eats to Roadway Lot A or MuIti-Use Pafli Lot ("Improvements")be prepaied,
nor require such Impiovements to be coiistructed,as a conditiou of Subdivision Approval.
KOP's only obligatios is to have Roadway Lot A and MuIti-Use Path Lot subdivided &om tiie
remamder ofLot I I-A-2-B and to convey such lots ia uaimproved condition to flie Coimty at flie
County's request as more fully described lierein.

each of wlrich shall be considered to be an original,but aU of which shall constitite a single
coimterpart.
3.2 Modificafion of MOU.This MOU represeats the entire agreement
between.the parties liereto and maynot 'be modified or tetminated,m whole or in part,except by
aaotlier agreemait in writmg,duly execnted by all offhe parties-
3.3 ControlHng Law.The perfoimance and iaterpretatioii of this MOU shall
be coatrolled by the laws offhe Sfate ofHawaii.

3.5 Effective Date.Tbis MOU shall not become effective and biadmg unless
and uatil signed by all ofthe parties hereto.The effective date offhis MOU shall be as oftiie
date signed by tlie last party to sign.

used in this MOU,or any pronouns used in their place,meaii and include ma.les or females,and
one or more (or a combination of)real people,compames,corporations or oflier entities,aiid

WHEREAS,KOP aad the County wish to have the area comprising Unit P
szibdividedfiromtheremamderofLot ll-A-2-B(fhe "Subdiyision")in ordei to create:amulti-use
path connecting Kflauea Town to fbe Kauapea Beach pedestrian access easement;aad a new
entiy road eonnecting Kilauea Towa to Kuhio Highway.To do tfais,the parties propose to
subdivide Lot 11-A-2-B into ten (10)lots ("Subdivision Lots"),as sbovm on the revised
Frelmunary Subdivision Map for the proposed Subdivision attached hereto as Exlubit "B"
("Subdivision Map").The Subdivision Lots are moie fully described ia fhe Subdivision Lot Index,
attached hereto as Exhibit "C",as amended by fhis First Amendmeut.
WHEREAS,the County wishes to be a co-applieant wifh KOP outhe S.ubdivision
application process in order to satisfy the provisions contained in Section 8-8.3(c)(l)of the
Comprehensive Zorung Ordinaace (Title IV,Chaptei 8 offhe Kauai Code ofOrdiaances,1987).
WHBKEAS,KOP applied for the Subdivision and fhe County issued Prelmmiary
Subdivision Approval on September20,2018 pursuantto Subdivision No.S-2018-15.
WHEREAS,tlie Couaty approved the Preluninaiy Subdivision Map with
conditions attached as provided for m Exliibit "D".

requiied ttie Subdivisiou Map to be modified along with additional restrictions.
WHEREAS,the purpose ofttus Pirst Amendment is to reflect the modifications to
the Subdivision Map,Subdivision Map Index,and to reference addirional conditions required by
the Department of Public Works,Engmeering Division,noted in the Preliminary Subdivision
Approval.
WHEREAS,upon fmal approval ofthe Subdivision,or at sucli later time as the
County shaU detennine,KOP proposes to convey and dedicate to fhe Couaty,forno consideration,
Roadway Lot A and Path Lot.
H.AMENDMENT
Pursuant to Section 3.2 of the MOU,fhe County and K.OP agree to modiiy the
followmg section,and relevant exhibits,as follows:
"2.9 Densitv Limitation.The parties understand and agree that Umt F
cnrrently has no dwelling unit density.Tbe parties agree that,notwifhstandmg fhe
approval of fhe Subdivision:Lots 11-A-2-B-3 tfarough 11-A-2-B-6 shall
continue to have no dwelUng unit density within any portions ofLots 11-A-2-B-3
thiough 11-A-2-B-6 that are located witbin the CZO Open District or the CZO
Agriculture District;Roadway Lot A,Roadway Lot B,and Lot 1I-A-2-B-8 shall
have no dwelling unit densify;and Lot 11-A-2-B-7 wiU have dwelling unit deiisily
as provided by law (which is currently five (5)faan dwellmg uiuts).Future
dwelling unit density wiU oiily be dlowed p.ursuaat to CZO density standards
applicable to fhose portions ofLot-11-A-2-B-3,Lot 11-A-2-B-4,Lot 1 1-A-2-B-5,
and Lot 11 -A-2-B-6 that are traiisfen-ed into fhe State Land Use Commission Urban
District or Rural District and info a CZO District otiier fhan the CZO Agriculture

2.2 KOP Costs/Fees.Except as ofliennse provided lierein,KOP will be
responsible for coordinating and supervising the Subdivisioa,md for paying aU costs and fees

mcluding,witfaout limitation,any archaeological svrveys,as well as any on-site or off-site
impact fees imposed by aay County,state or federal agency,statute,regulation or ordmance.
2.3 Final Aooroval.

Path Lot,mcluding paymg all costs and fees assodated fiierewitti.Ifor when sucli activities talce
place,such activities will be coordmated wifbi KOP so as to caiise the least interference wifh fhe
activities ofKOP and its tenaats.
2.5 Deiiication.The parties agree that nntil and unless a mutually agreeable
dedication deed ("Dedication Deed")is executed aml accepted by KOP and the County that
conveys to the County aU ofits iatisrest ia and to Roadway Lot A and Multi-Use Pafh Lot,for no
cost,fbe Connty shafl have an iadefimte option ("Option")fo Tequire KOP to cocvey Roadway
Lot A and MuIti-Use Pafli Lot to fhe Couaty.KOP also agrees to graat a right-of-entry
agreemenf ("Constmction ROE")for an area not to exceed ten (10)feet from flie bomidaries of
Roadway Lot A prior to cocstmction offhe improvemmts.Subject to mutual agreemeat,KOP
and the County may agree to a larger Construction ROE area wliere additional drainage
uifi'astrncture is reqmred.The County may escercise its Option at any time after Subdivision
Approval by providing writtea notice to KOP.Prior to such conveyance,the County shall
provide KOP witli a cim-snt appraisal ofRoadway Lot A and Multi-Use Faih Lot.The Counfy
shall pay all recordation fees and conveyances taxes,if my-KOP shafl own Roadway Lot A and
tbe MuIti-Use Pafh Lot free and clear of any rights of fhe Counfy imtil sucli time as fhe Coimty
requires fheir conveyance.Ifflie Counly fails to exercise its rights uader the Option,flien KOP
shaB own Roadway Lot A and the Multi-Use Pafb Lot free aad clear ofany rights offhe CoTmty,
and thereafier sliall liave no obligation to convey or dedicate said lots to (he County.If the
County exercises the Option,the Roadway Lot A and fhe Mnlti-Use Patli Lot shall be nsed for
roadway and multi-use pafh purposes.When exercisiag fhe Option,fhe County must accept liofh
fhe Roadway Lot A and the MuIti-Use Path Lot KOP reserves tlie right,and flie Couaty agrees
to in advance of the Option,fhat KOP sliall lie eatifled to locate reasonable access,utility,aad
iidgation easemeafs over and across Roadway Lot A and/or the Multi-Use Pafli Lot.

2.6 ConditioDS.The County shall be responsible for any and allconditions of
Subdivision approval imposed l)y the Plamring Commission applicable to Roadway Lot A and
Lot Multi-Use Path Lot ("County Conditions")and KOP shiall be responsible for any and all
conditions of Subdivision approval imposed by fhe Plamung Commission appUcable to fh.e
remaimng Subdivision Lots ("KOP Conditions").In the event fhat fhe Plamung Comimssion
imposes conditions that ei&er party,in its sole and absolute discretioii,finds unacceptable fhen
such party shall liave the right,in its sole and absolute disa-etion,to temunate the Subdivision
aiid this MOU,wifhout liability to the oftier party,including,witliouf HmitatioiL,any Uabflity for
any costs incurred by fhe o&ea-party ia processmg the Subdivision.The County agrees that tiie
Subdivision shall be deemed aa exception to a "one time subdi'vision restriction",pursuant to
Kauai County Code Sectioa 8-8.3(c),and sliall lecoiomead fliat the final subdivision approva]
&om fhe PlanTiing Commission reflects fbe same.Notwifiistaudmg mytfamg else herein to fhe
contrary,ftiis Section 2.6 shall survive anytemiination offhis MOU.
2-7 ROE.KOP agrees to draft and submit to tfae Counfy a Riglit of Entry
Agreement to provide fhe County a rigb.t-of-enfay ("ROE")for the purpose of allowing the
County,mchidmg its contractois and agents,to enter onto Roadway Lot A and Multi-Use Pafh
Lot to conduct mspections,perfonn smveys,prepare stadies,and to complete any ofeer
necessary tasks to accomplisli compliance wifh state,coiinty and federal mles and regulations
prior to obtaming land use entitlements.The County shaU not condnct any subsurface
investigation,dr construct,modify,or demolish auy sfa^icture,except as provided in tfae ROE.
2.8 EA/EIS.Ttie KOP wiU not bs responsible for preparing,and paying fhe
costs aad expenses relatmg to,any EnviTOmnental Assessment or Enviromaental Impact
Statement required pursuajat to Hawaii Revised Statates Chapter 343 arising out of or connected
to any construction project for flie road 01 shared use path.

2.10 Recordable Aaeemeats.KOP shall draft and submit to fhe Connty for its
approval a Density Limitation Agreement incorporating the prov-isions of Section 2.10 and an
Option Agreement incoiporating the provisions of Section 2-7.KOP sfaall have these agreements
recorded m ftie Bureau ofCouveyances ofthe State ofHawau as a coudition offinal approval for
Phase 2 oftbe Subdivision.
2.1]Improvements.The County agrees ttiat it will not require coastauction
plans for improvements to Roadway Lot A or Multi-Use Pafb Lot ("Improvements")be prepaied,
nor require such Improvements to be coastaicted,as a condition of Subdivision Approval.
KOP's only obligatioa is to Iiave Roadway Lot A and Multi-Use Pafii Lot subdivided from fhe
remainder oftot 11-A-2-B and to convey such lots m unimpioved coudition to the County al fhe
County's reqnest as more fuDy described herem.
3.GBNERAL PROVISIONS.
3.1 Counterpart.This MOU may be executed in more than oae conntdpait,
each.of wlrich sliall be coasidered to be aa oiigmal,but all of wliich shall constitute a single
coimterpart.
3.2 Modification of MOU.This MOU represents ftie entire agreemeut
betweea the parties Iiereto and may not be modified or tenmuated,in wtiole or m part,except by
another agreement ia writmg,duly executed by all ofthe parties.
3.3 ControUme Law.The performance and mterpretation of flus MOU shaB
be contoUed by tke laws offhe State ofHawaii.
3.4 RiAts aiid Oblieations.The rights aiid obligations set forfti herein.shall
be bmding upon,and stiaU uiure to fhe bsnefit of,fhe paities aad their respective Iieiis,estates,
personal representatives,successors,successors in tmst and assigns-
3.5 Effective Date.TIas MOU shall not become effective and binding unless
and until signed by all offtie parties faereto.Tbe effective date of this MOU siiafl be as offhe
date signed by fhe last party to sign.
3.6 Defiaitions.The terms "KOP","County","party"md "paities"wfaen
nsed m fhis MOU,or any prosoxms used ia their place,mean and include males or females,and
one or more (or a combination of)real people,compaaies,corporations or other entities,and
fbeii and each of fheir respsctive heirs,devisees,personal representatives,successors,successors
in trast and assigns,accordmg fo the context.
